Prices: Prices are
as listed. Discount prices are based on quantity per purchase order,
providing shipment for entire quantity is scheduled within a ninety
day period. Prices are in U.S. Dollars. Prices are
exclusive of all taxes, duties or other fees levied by government or
other authorities. All Florida purchasers will be charged
Florida sales tax unless a resale certificate is provided prior to
shipment. International orders require prepayment in full prior to shipping.
International shipments are shipped freight collect only, via FedEx,UPS, or DHL, no shipments by parcel post.
All international purchase orders must provide customer's FedEx,UPS, or DHL account number for
all freight charges, duties, fees, customs charges, etc.
Discount
Schedule. Hardware discount only: Discounts may
apply for Resellers and purchase quantities greater than one with
minimum releases - Call Factory.
Shipment. Unless otherwise specified at the time the
order is placed, shipment is two weeks ARO, FOB factory.
Unless otherwise requested, domestic shipment will be via UPS blue.
Shipment by other methods may incur a $25 handling fee.
Terms. Payment terms are payment in advance of
shipment, unless other credit arrangements are made. All
international orders require payment in advance of shipping.
Credit. Initial orders require payment in advance.
Credit for subsequent orders may be established by submitting
company information and a minimum of four credit references, and
approval of such application by Vigilant Products. In the
event that credit is offered, Vigilant's standard credit terms are
Net 30 days from date of invoice. Invoices not paid within 30
days will be subject to a 1.5% late payment fee for each month or
part thereof that payment is delayed, or the maximum amount
allowable by law.
Returns. Returned goods will not be accepted unless
clearly marked with a Return Material Authorization number issued by
Vigilant Products. Vigilant will issue RMA numbers over the
phone or in writing upon request. Returned goods will not be
accepted for credit unless they are returned in line new condition
in their original packaging materials. A restocking fee of $75
will apply.
Specifications. Product specifications are subject
to change without notice, unless prior notification arrangements are
made.
Warranty
. Vigilant Products (VP) warrants all hardware products
against defects in material or workmanship for a period of 12 months
from the date of shipment to the initial end-user of the product.
For VP software and firmware in use with VP hardware products, VP
warrants for a period of sixty (60) days from the date of receipt,
that (a) the media containing software provided with VP products is
free from defects in material and workmanship, or (b) the software
or firmware will perform substantially in accordance with the
accompanying written materials. The remedy available under
VP's warranty consists of repair or replacement of defective
products, at VP's sole discretion. Firmware upgrades after the sixty
day warranty period will incur a minimum charge of $75 plus
shipping for labor and retest. EXCEPT AS EXPRESSLY SET FORTH IN
ABOVE, THE SOFTWARE, FIRMWARE, AND HARDWARE PRODUCTS ARE PROVIDED ON
AN "AS IS WITH ALL FAULTS" BASIS WITHOUT WARRANTY OF ANY
KIND, AND NO OTHER WARRANTIES, EITHER EXPRESSED OR IMPLIED ARE MADE
WITH RESPECT TO THE PRODUCTS, INCLUDING BUT NOT LIMITED TO ANY
IMPLIED WARRANTIES OF MERCHANTIBILITY OR FITNESS FOR A PARTICULAR
PURPOSE. VP EXPRESSLY DISCLAIMS ANY WARRANTIES NOT STATED HEREIN.
WARNING: VP PRODUCTS ARE NOT DESIGNED WITH COMPONENTS AND TESTING
FOR A LEVEL OF RELIABILITY SUITABLE FOR USE IN THE DIAGNOSIS AND
TREATMENT OF HUMANS OR AS CRITICAL COMPONENTS IN ANY LIFE SUPPORT
SYSTEM WHOSE FAILURE TO PERFORM CAN REASONABLY BE EXPECTED TO CAUSE
SIGNIFICANT INJURY TO A HUMAN. ANY APPLICATION WHERE A SYSTEM
FAILURE WOULD CREATE A RISK OF HARM TO PROPERTY OR PERSONS
(INCLUDING THE RISK OF BODILY INJURY OR DEATH) SHOULD NOT BE RELIANT
SOLELY UPON ELECTRONIC MONITORINGDUE TO THE RISK OF SYSTEM
FAILURE. TO AVOID DAMAGE, INJURY, OR DEATH, THE USER OR
APPLICATION DESIGNER MUST TAKE REASONABLY PRUDENT STEPS TO PROTECT
AGAINST SYSTEM FAILURES, INCLUDING BUT NOT LIMITED TO BACK-UP OR
SHUT DOWN MECHANISMS.
